1. Agreement to These Terms

These Terms and Conditions ("Terms") govern your use of the website at https://thealliedadvantage.com, the Allied Advantage Leadership Academy, our online courses, coaching programs, mobile and web applications, and related communications (together, the "Services"). The Services are provided by The Allied Advantage LLC, a Florida limited liability company ("The Allied Advantage," "we," "us," or "our").

By accessing or using the Services, creating an account, enrolling in a program, or opting in to receive messages from us, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Some programs or client engagements may come with a separate written agreement or proposal. Where that agreement conflicts with these Terms, the separate agreement controls for that program.

2. Eligibility, Accounts, and the Services

Eligibility. The Services are intended for adults. You must be at least 18 years old to use them. Our programs are available to individuals and businesses located in the United States. If you use the Services on behalf of a company, you confirm that you have authority to accept these Terms for that company.

Your account. Some Services require an account. You agree to provide accurate information, keep it current, keep your login credentials private, and tell us promptly if you believe someone has accessed your account without permission. You are responsible for activity that occurs under your account.

Our app. Our application helps us deliver course content, coaching resources, scheduling, and communications to clients. We may update, change, or discontinue features of the app or the Services at any time. Some features may rely on third-party platforms (such as hosting, CRM, scheduling, or messaging providers), and your use of those features may also be subject to those providers' terms.

Electronic communications. By creating an account or enrolling in a program, you agree that we may send you notices, receipts, and program updates electronically, by email, through the app, or by posting them on our website. These electronic communications satisfy any legal requirement that a communication be in writing.

3. Program Enrollment and Access

Enrollment terms. Details for each course, coaching program, or client engagement, including what is included, are provided when you enroll or in your written proposal or agreement. Those enrollment terms apply in addition to these Terms.

Cancellation. You may end your participation in a program at any time by emailing [email protected]. Cancellations and any related account adjustments are handled according to the enrollment terms or written agreement for that program.

Access. If amounts owed for a program are not received when due, we may pause access to that program until the account is brought current.

4. SMS and Text Messaging Terms

If you provide your mobile number and opt in through a form on our website, in our app, or by another opt-in method, you agree to receive text messages from The Allied Advantage. Consent to receive messages is not a condition of enrolling in any program.

Program description. Messages may include appointment and session reminders, course and program updates, account notifications, responses to your inquiries, and occasional information about our programs.

Message frequency. Message frequency varies based on your enrollment and interactions with us.

Carrier rates. Message and data rates may apply. Contact your wireless carrier for details about your plan.

Opt out. Reply STOP to any message at any time to stop receiving texts. You will receive one confirmation message, and then no further messages unless you opt in again.

Help. Reply HELP for assistance, or email [email protected].

Carrier liability. Wireless carriers are not liable for delayed or undelivered messages.

Privacy. Mobile numbers and opt-in information are not sold or shared with third parties or affiliates for their marketing purposes. See our Privacy Policy for details.

5. Intellectual Property and Acceptable Use

Our content. All course materials, videos, worksheets, frameworks, assessments, written content, logos, and other materials provided through the Services are owned by or licensed to The Allied Advantage and are protected by copyright and other laws. We grant you a limited, personal, non-transferable license to access and use them for your own learning and, for business clients, for internal use within your organization.

What you may not do. Unless we agree in writing, you may not:

Copy, resell, redistribute, publicly post, or record course content or coaching sessions

Share your login or give others access to your account

Use our materials to create a competing course, program, or product

Reverse engineer, scrape, or interfere with the app or website

Use the Services for any unlawful, harassing, or harmful purpose

Your content. You keep ownership of anything you submit, such as exercise responses, goals, and messages. You give us permission to use it only as needed to provide the Services to you. We will not publish your personal information or responses without your consent.

Feedback. If you send us suggestions or feedback, we may use them to improve our programs without obligation to you.

6. Disclaimers and Limitation of Liability

Educational and coaching services only. Our programs provide leadership development, business systems guidance, and coaching for educational purposes. They are not medical, mental health, psychological, legal, accounting, or tax advice, and coaching is not therapy. You are responsible for your own decisions and results. We do not guarantee any particular business or personal outcome.

No warranties. The Services are provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Services will be uninterrupted, without errors, or without harmful components.

Limitation of liability. To the fullest extent allowed by law, The Allied Advantage and its owners, instructors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Services. Our total liability for any claim related to the Services is limited to the amount you paid us for the Services in the 12 months before the claim arose.

Indemnification. You agree to defend and hold harmless The Allied Advantage and its owners, instructors, employees, and contractors from claims, losses, and expenses (including reasonable legal expenses) arising from your misuse of the Services or your violation of these Terms.

7. Termination, Governing Law, and General Terms

Termination. We may suspend or end your access to the Services if you violate these Terms or misuse the Services. You may stop using the Services at any time. Sections that by their nature should survive (such as intellectual property, disclaimers, limitation of liability, and governing law) will survive termination.

Governing law. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Pinellas County, Florida, and you consent to their jurisdiction.

Changes to these Terms. We may update these Terms from time to time. When we do, we will post the new version on this page and update the "Last Updated" date. Continued use of the Services after changes are posted means you accept the updated Terms.

General. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our written consent. These Terms, together with our Privacy Policy and any separate written agreement for your program, are the entire agreement between you and us about the Services.
